How it unfolded
The amendment arrived just 7 days after the initial public filing. Anthropic publicly filed its S-1 on Oct 26, planning a Nasdaq Global Select Market listing under ticker ANT, disclosing first-half revenue of $16.3 billion and a net loss of $80.7 billion, but leaving two key figures blank: third-quarter results and the total compute commitment. Amendment No. 1 on Nov 2 filled in both at once: third-quarter revenue of $16.96 billion, and purchase commitments and lease agreements for compute and infrastructure totaling about $895.4 billion, almost all related to compute and infrastructure.
Third-quarter revenue of $16.96 billion compares with $1.38 billion a year earlier, up 1,127%, and with $11.56 billion in the second quarter, up about 47%, versus 144% quarter-on-quarter growth in the second quarter. Reuters reported that the slower third-quarter growth pace was one focus of discussion after the amendment. The third-quarter revenue figure previewed at the company's mid-October investor day was about $16.8 billion, slightly below the amended filing's figure.
The operating result swung from profit to loss: a third-quarter operating loss of $567 million, versus operating income of $974 million in the second quarter. The filing attributes the swing mainly to two items: $5.0 billion of compute bought under short-term commitments, and $2.0 billion of non-cash charges related to an employee donation matching program. Third-quarter compute and infrastructure expense was $9.86 billion, or 58% of revenue, versus 48% in the second quarter, and up 382% year over year. Nine-month revenue was $33.24 billion and the nine-month net loss was about $104 billion.
The net loss of $23.3 billion compares with about $12.1 billion a year earlier and $66.3 billion in the second quarter. The filing says the net loss comes mainly from non-cash accounting items tied to fair-value changes in convertible notes and derivative liabilities; an analysis of the amendment puts about $21.9 billion of it down to revaluing convertible notes and similar instruments at a higher company valuation. As of Sept 30, the company held $95.6 billion in cash and $36.3 billion in short-term investments, about $131.9 billion combined. The amendment adds that internal estimates suggest the company may soon meet its Responsible Scaling Policy definition of 'dramatically accelerated progress attributable to AI'.
What was said
The amended filing itself gives no price range, share count or listing date, with the cover-page items still blank, and the Oct 31 run-rate revenue line also blank. The filing discloses that $69.8 billion of the commitments falls due in the 12 months after Sept 30, about half is expected by the end of 2030, and the commitment period runs as far as 2045; the company also says it expects to keep entering new arrangements to secure compute and infrastructure capacity.
Reuters reported on Nov 2 that Anthropic is preparing to begin formally marketing shares to prospective investors next week; IPOScoop, citing Bloomberg, reported the roadshow could start as early as the week of Nov 9. Under U.S. Securities and Exchange Commission rules, a public S-1 must be public for at least 15 days before a roadshow can begin, putting the earliest point at about Nov 10 from the Oct 26 public filing. Press reports put the expected valuation between $1.5 trillion and $2 trillion; the company has not confirmed a valuation or a listing date.
A Japanese registration document was published the same day: Anthropic filed with the Kanto Local Finance Bureau on Nov 2 to offer up to $3.5 billion of shares in Japan, about ¥552.8 billion, coordinated by Mizuho Securities with six brokerages accepting applications. Mizuho Securities said that, at that ceiling, it would be the largest amount a foreign company has ever raised in Japan through an IPO. Bloomberg reported on Oct 28 that the company is also marketing shares to UK retail investors through RetailBook, with those arrangements not yet final.
The customer base expanded alongside: as of Sept 30, more than 11,900 customers paid over $100,000 in the trailing 12 months, versus more than 1,500 at the end of 2025; more than 1,900 paid over $1 million and about 250 paid over $10 million. The amendment discloses compute commitment counterparties including Amazon and Google, and Reuters reported that part of future compute supply depends on financing arrangements beyond the company's control, one of the new risk disclosures in the amendment.
