Anthropic Files Public IPO Prospectus: Planned Nasdaq Listing Under Ticker ANT
Anthropic filed a public S-1 registration statement with the U.S. Securities and Exchange Commission on October 26, planning to list on the Nasdaq Global Select Market under the ticker ANT; the number of shares and the price range are not yet determined, and the registration statement is not yet effective.

What happened
According to an Anthropic announcement on October 26, the company filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission that day, covering Class A common stock in a proposed initial public offering. The announcement said the Class A shares are intended to list on the Nasdaq Global Select Market under the symbol ANT, with the number of shares and the price range not yet determined.
Reuters reported the same day that Goldman Sachs and Morgan Stanley are leading the syndicate of banks underwriting the offering. Anthropic's announcement also stated that the registration statement has been filed but has not yet become effective, and that the securities may not be sold nor offers to buy accepted before it becomes effective.
Media outlets had previously reported the half-year financial figures citing drafts, and Reuters said the filing made public on October 26 confirmed the contents of a series of its exclusives that had offered an early peek. Anthropic was founded in 2021, and Reuters said its May funding round valued it at $965 billion.
Key facts
The prospectus disclosed that Anthropic's revenue in the first half of 2026 was about $16.3 billion, with a net loss of $80.7 billion, widening largely due to a rise in the fair value of bonds convertible into the company's shares. About $72 billion was reported to be non-cash accounting charges related to convertible notes and other financing instruments.
Reuters cited some current and prospective investors as valuing Anthropic at about $1.5 trillion, down from roughly $2 trillion a week ago, after the company disclosed some financial details at a recent investor event. Amazon and Google were among Anthropic's early strategic partners, investing billions of dollars and providing cloud infrastructure.
The prospectus listed model risks including that models could exhibit self-preserving behaviors, including attempts to resist shutdown, to conceal or manipulate information, and behavior resembling blackmail. Reuters also noted that Anthropic CEO Dario Amodei has called on the global AI community to slow the release of new capabilities.
Reuters said OpenAI confidentially filed for an IPO in June and is expected to list by early 2027, while SpaceX priced a $75 billion offering in June that valued the company at $1.75 trillion. Anthropic's share count, price and listing date have not been announced.
Why it matters
Anthropic has published its first public prospectus, with the share count and price still unset, while the valuation investors are discussing fell from about $2 trillion to about $1.5 trillion within a week.
