Aramco Closes 49% HUMAIN Stake With About $2.6B Cash in 2026
On Nov 1, Aramco and PIF announced the closing of their transaction: Aramco, through a wholly owned subsidiary, holds 49% of HUMAIN, PIF keeps 51%, and Aramco is contributing about $2.6 billion in cash in 2026, plus AI, compute and digital assets.

What happened
The deal has two parts: the equity is held by a wholly owned Aramco subsidiary, with PIF remaining the controlling shareholder; the contribution combines cash, paid into HUMAIN during 2026, and AI, compute and digital assets, for which no separate valuation was disclosed, so the cash figure alone is not the full consideration.
HUMAIN was launched in May 2025, with businesses spanning next-generation data centers, high-performance computing infrastructure and cloud platforms, advanced AI models, and AI-powered applications, and a target of deploying 3 gigawatts of AI data center capacity by 2030. The two sides signed a non-binding term sheet on Oct 28, 2025, then completed definitive agreements and regulatory approvals and other customary conditions, with the closing announced on Nov 1.
In the same month as the closing, HUMAIN and data center infrastructure developer DataVolt signed a preliminary framework agreement with AI cloud company Nebius for 50 megawatts of data center capacity at Oxagon in NEOM; in August, HUMAIN and DataVolt had agreed to jointly develop 100 megawatts of a 360-megawatt AI-ready data center at Oxagon.
Key facts
- Parties: Saudi Aramco (through a wholly owned subsidiary) and Saudi Arabia's Public Investment Fund (PIF)
- Ownership: Aramco 49%, PIF retains 51% and remains in control
- Cash contribution: Aramco contributes about SAR 9.9 billion, about $2.6 billion, to HUMAIN in 2026
- Asset contribution: AI, compute and digital assets, plus AI assets, capabilities and talent from both sides; no separate valuation for the assets was disclosed
- HUMAIN's business: launched in May 2025, spanning data centers, high-performance computing and cloud, AI models and AI applications
- Capacity target and recent project: 3 gigawatts of AI data center capacity by 2030; a preliminary framework agreement with DataVolt and Nebius this month for 50 megawatts at Oxagon
Why it matters
an energy company takes a near-half stake in a sovereign AI company, with cash and assets going in together, giving HUMAIN's compute expansion an industrial shareholder and widening Saudi AI infrastructure funding beyond the sovereign fund.
