NVIDIA Invests $3 Billion in Meta and Expands Muse Collaboration

NVIDIA announced on October 27 that it will expand its collaboration with Meta on Muse agents and the Muse model family and invest $3 billion in Meta's equity offering; Meta raised the offering's total size to $97.5 billion the same day.

What happened

The core of the collaboration is joint optimization: the two companies will work across workflows on Muse and the Muse model family to improve inference and training performance and lower total cost of ownership. Meta will also expand its deployment of NVIDIA infrastructure, including Vera Rubin and Vera CPUs, with Spectrum-X Ethernet networking and BlueField-4 to support network efficiency and throughput.

The companies are also considering extending the collaboration to NVIDIA's OpenShell Reference Architecture and Sentry: the former for safe deployment of agents, the latter for monitoring agent behavior. NVIDIA chief executive Jensen Huang said agents represent a new computing paradigm in which software understands goals, reasons and gets work done on people's behalf; Meta chief executive Mark Zuckerberg said Muse is how Meta brings personal superintelligence to everyone.

On the funding side, NVIDIA will invest $3 billion in Meta's equity offering. Meta raised the offering's total size from $95 billion to $97.5 billion: $25 billion of common stock at $625 per share; $12.5 billion of mandatory convertible preferred depositary shares at $50 apiece; and an at-the-market program of up to $60 billion, to begin after its new non-voting Class C shares start trading in the first quarter of 2027. AMD announced a $1 billion investment in Meta's offering the same day.

Key facts

  1. Scope: Optimizing inference and training performance across Muse and the Muse model family, aiming to lower total cost of ownership.
  2. Infrastructure: Meta is expanding Vera Rubin and Vera CPU deployment, with Spectrum-X Ethernet networking and BlueField-4.
  3. Safety and monitoring: The companies are considering collaboration on the OpenShell Reference Architecture and Sentry, for safe deployment and monitoring agent behavior respectively.
  4. NVIDIA investment: $3 billion, invested in Meta's equity offering.
  5. Offering size: Raised to $97.5 billion: $25 billion of common stock ($625 per share) and $12.5 billion of mandatory convertible preferred depositary shares ($50 apiece), plus an at-the-market program of up to $60 billion to begin after Class C shares start trading.
  6. Other chipmakers: AMD announced a $1 billion investment the same day; NVIDIA, AMD and Broadcom had previously indicated interest in up to $5 billion of Class A common stock in aggregate.
  7. Muse's role: Reuters reported that Muse, known internally as Hatch, is central to Zuckerberg's personal superintelligence plan; Muse can access email, calendar, payments, health, shopping and smart-home applications, with users able to revoke access at any time.

Why it matters

chip suppliers are entering a customer's offering as shareholders, the agent collaboration is moving from a procurement relationship to joint optimization, and $97.5 billion is Meta's largest fundraising.
